Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of AIPixel Studio's website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services Description

AIPixel Studio provides web development, software engineering, and related technology services, including:

When using our services, you agree to:

You agree NOT to:

Project Terms and Payment

Project Scope

All projects begin with a detailed scope document outlining deliverables, timeline, and pricing. Changes to the project scope may result in additional fees and timeline adjustments.

Payment Terms

• •Fixed-price projects: 50% upfront, 50% upon completion
• •Hourly projects: Billed weekly or bi-weekly
• •Payment due within 7 days of invoice
• •Late payments may incur a 1.5% monthly interest charge

Refund Policy

Deposits are non-refundable once work has commenced. If you are unsatisfied with the final deliverable, we will work with you to address concerns. Refunds for completed work are at our sole discretion.

Client Ownership

Upon full payment, you own all rights to the custom code and deliverables created specifically for your project. This includes:

• •Custom application code
• •Design assets created for your project
• •Documentation and materials

Third-Party Components

Projects may include third-party libraries, frameworks, and tools that are subject to their own licenses. These remain the property of their respective owners.

Portfolio Rights

We reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing. We will respect any confidentiality agreements.

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We will fix any bugs or issues discovered within 30 days of project delivery at no additional cost.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• •Services will be uninterrupted or error-free
• •Results will meet your specific requirements
• •All errors will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIPIXEL STUDIO SHALL NOT BE LIABLE FOR:

• •Indirect, incidental, special, or consequential damages
• •Loss of profits, revenue, data, or business opportunities
• •Damages exceeding the amount paid for the services

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

Confidentiality

We respect the confidentiality of your business information. We will:

• •Keep your proprietary information confidential
• •Not disclose your information to third parties without consent
• •Use your information only for providing services
• •Sign additional NDAs upon request

Termination

Either party may terminate a project with written notice:

• •Client may terminate with 7 days notice
• •Payment due for work completed up to termination date
• •Deposits are non-refundable
• •We may terminate immediately for breach of terms

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property matters.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the new Terms.
